Corporate governance deals with the issue of power where integrity and ethics considered as inherent components in every board action and decision making process. Board of directors is the vital decision maker in the company and always be viewed as a role model to all levels of employees. Therefore, selection criteria of the members of the board, especially INED are crucial. The key selection criteria identified which are predicted to be able to increase the level of corporate integrity are working experience and knowledge, financial expertise and level of education. The government with the help of Institute of Integrity Malaysia has developed a framework called Corporate Integrity System Malaysia (CISM) in the year 2011 with the aims to increase the level of corporate integrity among Malaysian companies. With that in mind, this study proposed to investigate whether the selection criteria of INED are able to increase the level of corporate integrity in the company. There are three key research objectives constructed in the study: (1) to examine the level of corporate integrity among PLCs; (2) to determine the relationship between selection criteria of INED and the level of corporate integrity of the company; and (3) to identify the main selection criteria of INED that significantly influences the level of corporate integrity of the company. Data in relation to INED are collected from the annual report of company with the financial year end 30 June 2015. A set of checklist was modified and then distributed to 76 PLCs around the area of Klang Valley. The checklist is used to measure the level of corporate integrity of the company. The data collected are then analyzed using the descriptive, correlation and regression analysis. The study found that the level of corporate integrity among PLCs in Malaysia is moderate. Financial expertise was found to be the most significant selection criteria that influence the level of corporate integrity of the company. The other selection criteria such as experience and knowledge and levels of education have no significant effect on the level of corporate integrity of the company.
